1 (a) Explain the legal effect of the registration of by-laws of a co-operative society.(10marks)
(b) Kibiego and ten of his friends,who are all farmers intend to form a co-operative society to market their milk produce.They have been told that before registration they have to prepare by-laws of the proposed co-operative society.They have come to you for advice on the content of the by-laws of the proposed co-operative society.
Explain the likely contents of the by-laws of the proposed co-operative society.(10marks)

2.(a) Section 27(1) of the Co-operative Societies (Amendment) Act,20004 provides that the supreme authority of a co-operative society shall be vested in the general meeting at which the members shall have the right to attend,participate and vote on all the matters.
Explain how this provision ensures the protection of the principle of democratic control of a co-operative by its members.(10marks)
(b) Evaluate the role of the Ministry of Co-operative Developed in the management of co-operative societies in Kenya.(10marks)

3 (a) Every co-operative society shall have a Committee which shall be the governing body of the society and which shall direct the affairs of the co-operative society.
Explain the powers of such a committee.(10marks)
(b) Masaku,the Minister for Co-operative Development,intends to appoint a person as chairman of the co-operative tribunal.He comes to you for advice.< br> Advice him on:
(i) the composition of the co-operative tribunal;(8marks)
(ii)the rules governing quorum for the tribunal.(6marks)

4.(a) Outline provisions of the Co-operative Societies Act governing the keeping of the books of accounts by a co-operative society.(10marks)
(b) Kim has been appointed the auditor of Wakwitu Co-operative Society. He has approached you for advice on his rights and powers as the auditor of Wakwitu Co-operative Society. Advise him.(10marks)

5(a) Other than the register of charges,explain five other registers which are required to be kept by registered co-operative society.(10marks)
(b) Every co-operative society which creates a charge on the whole or any part of its property must keep a register of charges so created.
(i) Outline the contents of the register of charges.(4marks)
(ii)Explain the duties of the registrar regarding the registration of charges.(6marks)

6.(a) Mary and fifteen of her former college-mates are unable to get formal employment.They intend to pool resources to start some business for their economic developed.They feel that their only hope lies in co-operative effort and are therefore thinking of forming a co-operative society to realize their objective.They have come to you for advice on the advantages of a co-operative society.
Stating ten advantages of such a society,advice them.(10marks)
(b) Explain the rights that a co-operative society may have against its members.(10marks)

7.Explain the provisions of the Companies Act (Cap486) as they apply to co-operative societies in relation to:
(a) The effect of an order cancellation of the registration of a co-operative society(10marks)
(b) The powers of the registrar of Co-operatives after the making of an order for the cancellation of registration of a co-operative society.(10marks)
