INSTRUCTIONS
Answer QUESTION ONE and any other TWO.
1. a) Distinguish between companies and partnerships while pointing out the
advantages of each as a medium of business. [15 marks]
b) Ali insured his motor vehicle comprehensively with Bidii Insurance
Company for Ksh.500,000, she also insured it with Cali Insurance
Company for Ksh.500,000.
Infact the value of the car was Ksh.300,000.
On 26th February, 2005, the vehicle was involved in a road accident where
it was seriously damaged. Police report indicates that Daudi the owner of
the other car involved in the accident was indeed to blame.
Since then it has emerged that the contract for the purchase of the vehicle
between Ali and the previous owner Joe was infact defective. Advice Ali
on any possible claim against Bidii Insurance Company.

2. ‘Agency may be defined on the basis of power-liability relationship between the
principal and Agent. This analysis focuses on the agent’s power to alter the
principal’s legal relations with 3rd parties.

can only be understood in the context of applicable exceptions. Discuss.
