1. i) The term law is used in a variety of ways. Define law and clearly distinguish it from
Morality (4mks)

ii) Explain what you understand by sources of law and show three requirements that African
Customary law must meet for it to act as a source of law in Kenya (5mks)

iii) Explain what to discharge a contract is and show four ways of discharging a contract
(10mks)

iv) With aid of decided case(s) where applicable, discuss any four persons who are deprived
wholly or partly their contractual abilities (8mks)

v) An agent represents a principal in particular dealings. Explain two examples of implied
agency (3mks)

2. i) Explain what consideration is as used in law of contract and briefly elaborate on four rules
of consideration (10mks)

ii) An agent is deemed to be acting on behalf of the principal. However, certain
circumstances make the agent personally liable for his actions and not the principal.

3.i) With aid of decided case, distinguish between an offer and an invitation to treat (5mks)

ii) Explain what vitiating factors are and with aid of decided cases explain four vitiating
factors (15mks)

4.i) The tort of negligence impose a duty of care to persons involved. Explain four guiding
principles in determining standard of care to apply (8mks)

ii) Under section 19 of sale of good Act, the transfer of property in goods take place at such
a time as the party to a contract intended. However, when the intention is not clearly
discernible, certain rules to determine when property passes to the other party applies.
Explain (12mks)

5.i) Explain any five advantages of business partnerships (10mks)

ii) Discuss any five ways through which a partnership agreement may be dissolved (10mks)
