Distinguish between civil law and criminal law stating the objects of each and the expected outcomes of civil and criminal actions. [10 marks]

Distinguish arbitration from litigation. [10 marks]

Explain the contents of a partnership deed. [5 marks]

Discuss the instances in which a partnership can be dissolved. [10 marks]
5.
Hunters Pub has been on the market for a few years and is now in a poor state of repairs. James and John think they can make success of the business and seek your advice as to whether it would be better to purchase or to lease the pub. [10 marks]
6.
Using relevant examples define a covenant and relate how it appears in leases. [5 marks]

SECTION B
7.
Lawson, a lorry driver employed by the Poly view Hotel, reversed his lorry negligently and knocked down his own father, who was also employed by the same hotel. Advise.

A traveler, Mr. Wamalwa was driving home to Western Kenya when his vehicle broke down. He called on the nearby’ Highway Inn’ and asked for refreshment and accommodation. He was provided with refreshment but refused accommodation because all the rooms were occupied. The traveler asked if he could sleep in a lounger/ lobby but the Night manager refused. Mr. Wamalwa has threatened to sue for having been refused accommodation. As the manager of the inn, advise the board of directors. [20 marks]
