1. (a) Highlight and explain at least five sources of Kenyan law. [10 Marks]

(b) A contract is a kind of an agreement but not every agreement is a contract.
Discuss this statement and highlight the essential elements of a valid contract. [10 Marks]

(c) In reference to the law of contract state the legal position in the following case giving the reason for your answer. Mutuma offered to sell his car to Koech for ksh 700,000. Koech refused and offered ksh 650,000 which Mutuma refused. After realizing Mutuma would not sell his car below 700,000, Koech said he would accept the original offer of ksh 700,000. Mutuma refused to sell his car to Koech and sold to somebody else. [6 Marks]

(d) Explain the law of tort and state at least two conditions that must be satisfied.

2. (a) Describe at least two other methods of disputes resolution recognized in law other
than the courts of law. [10 Marks]

(b) Distinguish between a business partnership and a private incorporated company.
[10 Marks]

3. (a) The Kenyan courts relate to each other in an organized and designed hierarchy.
Explain the jurisdiction of at least five of these courts in the administration of law. [10 Marks]

(b) Discuss circumstances under which an offer in a contract can be terminated. [10 Marks]

4. (a) Define a negotiable instrument and highlight at least four legal characteristics
which distinguish it from other documents used in commercial transactions. [10 Marks]

(b) A person in your home area has died intestate and they have approached you, as a
law student in Chuka University, advice them on how his property shall devolve as per the law of succession. [10 Marks]
